Buyer–Seller Non-Disclosure Agreement (Template)

This is the standard NDA every Buyer executes electronically before requesting access to a listing's confidential information. The executed copy, including the Buyer's identity, timestamp, and IP address, is retained by CapRaise and available to both parties.
1. Confidential Information
The Recipient (Buyer/Investor) agrees to keep strictly confidential all information received about the business, including but not limited to: business name, financial data, customer details, operational information, and any documents shared in the deal room.
2. Use Restriction
The Recipient shall use Confidential Information solely for the purpose of evaluating a potential transaction with the Discloser (Seller/Issuer).
3. Non-Disclosure
The Recipient shall not disclose Confidential Information to any third party without prior written consent from the Discloser.
4. Term
This Agreement remains in effect for 3 years from the date of signing.
5. Governing Law
This Agreement is governed by the laws of the Democratic Socialist Republic of Sri Lanka.
