Seller Confidentiality Undertaking

This undertaking is entered into by the Seller / Issuer ("You") registering a business listing on CapRaise.lk, operated by CapRaise Capital Market Services (Pvt) Ltd ("CapRaise"). You agree to it electronically before creating a listing. It protects investors and the integrity of the marketplace.

1. Accurate Information

You will not use the CapRaise platform to misrepresent business financials, ownership, or material facts. All listing information must be accurate and not misleading to potential investors.

2. Role of CapRaise

You understand that CapRaise.lk acts as a marketplace intermediary. It does not provide investment advice and does not guarantee any transaction outcome.

3. Confidentiality of Investor Information

You will keep confidential any investor information shared with you through the platform, and you will not contact investors identified through CapRaise outside the platform to circumvent fees.

4. Indicative Nature of CapRaise Materials

Any Confidential Information Memorandum (CIM), one-page investment profile, or business valuation prepared by CapRaise is indicative only. These materials are intended to give investors and sellers a structured overview of the opportunity. They do not constitute financial, legal, or investment advice, and they do not guarantee a transaction price, capital raise, sale, or financing outcome. All figures are estimates prepared from information you provide, and investors are expected to conduct their own due diligence.

5. Compliance and Removal

You agree that CapRaise may verify the information you submit and may remove any listing that violates the platform terms.

6. Governing Law

This undertaking is governed by the laws of the Democratic Socialist Republic of Sri Lanka. It is effective from the date of your electronic signature and remains in force for the duration of your use of the CapRaise platform.
